Terms of Use

1. Who we are and what this document covers

Planuze is a desktop application (macOS, Windows and Linux) for modelling and generating back-ends from a declarative model, with the help of an AI agent. These Terms govern the use of the application, the planuze.com website and the associated services: user account, licences, organisations, packs and marketplace.

By creating an account, installing the application or subscribing to a plan, you agree to these Terms. If you disagree with any part of them, do not use the service.

2. Version and effect

These Terms are versioned. Each version has an integer number and a date from which it takes effect; the version shown on this page is always the one currently in force. Published versions are never edited — a correction is always a new version, and the previous one stays in the history.

Material changes are announced in the application at least 30 days in advance. Continuing to use the service after a version takes effect means accepting it.

3. Account

Using the application requires an account. You agree to provide truthful information and keep it up to date.

You declare that you are at least 18 years old or, if between 16 and 18, that you are assisted by your legal guardians.

The account is personal. You are responsible for keeping your credentials safe and for all activity carried out with them. Sharing a single account between different people is not permitted — team use is served by organisations and seats.

4. Software licence

While your account is active and your plan is current, you receive a personal, non-exclusive, non-transferable and revocable licence to install and use the application.

The licence may be individual or attached to a seat in an organisation, and it is validated on the devices you authorise. The number of simultaneous devices depends on your plan.

You may not circumvent, disable or interfere with the licensing, pack-signature verification or billing mechanisms.

5. Plans, payment, renewal and cancellation

Payments are processed by Stripe. We neither receive nor store your full card number.

Renewal. Subscriptions renew automatically at the end of each cycle, at the prevailing price, until you cancel.

Cancellation. You may cancel at any time. Cancellation takes effect at the end of the cycle you have already paid for, and access continues until then.

Right of withdrawal. For contracts entered into off-premises, you may withdraw within 7 days of subscribing and receive a refund of the amount paid, under article 49 of the Brazilian Consumer Protection Code.

Price changes. Price changes are announced at least 30 days in advance and apply from the following cycle. You may cancel before renewal if you disagree.

Non-payment. A failed payment triggers a notice; if it persists, access to paid features is suspended until the account is brought up to date.

Organisation seats. Adding or removing seats mid-cycle results in a charge or credit proportional to the remaining time.

6. Your content and your code

Planuze is local-first: your projects, the declarative model, the generated code and the AI agent sessions stay on your machine. They are not sent to our servers.

You retain full ownership of what you create with the tool. We claim no rights over your model, your generated code or your data — you may use, distribute and commercialise them freely, royalty-free.

Because the content is local, keeping and backing it up is your responsibility.

7. AI agent and model providers

The AI agent works with the model provider that you choose and configure.

Requests go directly from your machine to the provider, using your own API key. Planuze does not sit in the middle: we do not receive, process or store your prompts or the responses. If you use a local model (for example, via Ollama), nothing leaves your computer.

Use of each provider is subject to that provider's own terms and privacy policy, with whom you hold the contractual relationship. It is up to you to check whether you may send particular content to them.

AI-generated output may contain errors, inaccuracies or passages unsuited to your case. Review what is generated before using it in production. You remain responsible for what you ship with the generated code.

8. Packs and marketplace

Packs are modules that extend the application. Every pack distributed through the marketplace is digitally signed and moderated before becoming available.

Moderation and signing reduce risk, but do not make Planuze the author of the pack. Third-party packs are developed by whoever publishes them, may carry their own terms, and are provided under the publisher's responsibility.

Purchasing a paid pack grants the licence described on that pack's own page.

9. Publishing packs

By publishing a pack, you declare that you hold the necessary rights over all included content and that it does not infringe third-party rights.

You grant Planuze a limited, non-exclusive, worldwide licence to host, reproduce, distribute and display the pack, solely to operate the marketplace. That licence ends when the pack is removed, except for copies already installed by users and for legal retention obligations.

We may remove a pack that breaches these Terms, third-party rights or the law, notifying the publisher.

Revenue sharing follows the publisher programme rules in force at the time of sale.

10. Acceptable use

You may not use Planuze to:

• carry out unlawful activity or infringe third-party rights;
• circumvent licensing, pack verification or billing controls;
• reverse-engineer the software beyond what the law permits;
• distribute malware or malicious content through packs;
• deliberately overload the infrastructure or attempt unauthorised access to it;
• resell or sublicense access to the service without written authorisation.

Depending on severity and repetition, the response may be a warning, temporary suspension or account termination. For serious conduct — particularly conduct that puts others at risk — suspension may be immediate.

11. Updates, availability and support

The application receives periodic updates. Some may be mandatory for security or compatibility with the cloud services; in those cases the previous version may stop working.

We work to keep the services available, but we do not guarantee uninterrupted operation. Scheduled maintenance is announced when foreseeable.

Support is provided through the channels available in the application and at planuze.com.

12. Planuze intellectual property

The application, the brand, the visual identity, the documentation and the packs we author are protected by intellectual property rights. These Terms grant a licence to use and do not transfer ownership.

13. Warranties and limitation of liability

The service is provided as is. We do not warrant that it will meet a specific purpose of yours, nor that it will operate free of faults.

We are not liable for indirect damages, loss of profits, or data loss arising from the absence of a backup on your side. Our total liability, where it exists, is limited to the amount you paid for the service in the 12 months preceding the event.

Nothing in this section removes rights granted to consumers by the Brazilian Consumer Protection Code, nor liability for wilful misconduct or gross negligence.

14. Termination

You may close your account at any time through the application settings or through support.

We may terminate or suspend your account for breach of these Terms, with notice and, where applicable, an opportunity to remedy.

Once the account is closed, active licences cease. Handling of your data after closure follows the Privacy Policy.

15. Changes to these Terms

We may change these Terms. Material changes are announced at least 30 days in advance, and the previous version remains available in the history.

16. Governing law and jurisdiction

Brazilian law applies. In consumer relations, the courts of the consumer's domicile are elected, under article 101, I, of the Brazilian Consumer Protection Code.
